Please read these Terms and Conditions of Portstay Technologies, The Enterprise & Collaboration Software Platform, user agreement (the "Agreement" or "User Agreement" or "Terms and conditions") for Portstay (the "Portstay Platform"), an application owned and operated by Portstay Technologies. This Agreement is a legally binding agreement made between You, Your Affiliates, Users and End-Users ("You," "Your," or "Yourself") and Portstay ("Portstay," "We," "Us" or "Our") Your access to and use of the Services is conditioned on your acceptance of and the compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service. By accessing or using the Service(s) or Websites, or authorizing or permitting any User or End-User to access or use the Service(s) or Websites, You agree to be bound by these Terms. If You are entering into these Terms on behalf of a company, organization or another legal entity (anĀ "Entity"), You are agreeing to these Terms for that Entity and representing to Us that You have the authority to bind such Entity and its Affiliates to these Terms, in which case the terms, "You", "Your" or related capitalized terms used herein shall refer to such Entity and its Affiliates. If You do not have such authority, or if You do not agree with these Terms, You must not accept these Terms and may not access or use the Service(s) or Websites. Please read this Agreement carefully before using the Services. You must read, agree with and accept all of the terms and conditions contained in this Agreement, which includes those terms and conditions expressly set out below and those incorporated by reference, before You use any of the Services. By using any of the Services, You become a Participant in Portstay and a User of Services available on the Portstay Platform ("Participant" or "User" or "End-Users") and You agree to be bound by the terms and conditions of this Agreement with respect to such Services.
IF YOU ARE NOT AGREEING TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT, PLEASE DO NOT USE OR ACCESS PORTSTAY OR REGISTER FOR THE SERVICES PROVIDED ON PORTSTAY.
We may amend this Agreement at any time by posting the amended terms on the Portstay Platform. If We post amended terms on the Portstay Platform, You may not use the Services without accepting them. Except as stated below, all amended terms shall automatically be effective after they are posted on the Portstay Platform. This Agreement may not be otherwise amended except in writing signed by You and Portstay.
Portstay Technologies owns and retains ownership in the Portstay Platform, and all intellectual property therein. Contingent upon Your compliance with the terms and conditions of this Agreement, Portstay hereby grants to You a limited, non-transferable, non-exclusive, non-assignable, revocable license to use of the Portstay Platform.
Portstay Technologies is willing to license, not sell, the Portstay Platform to You, Your Affiliates, Users, End-Users or If You are entering into these Terms on behalf of a company, organization or another legal entity (and "Entity"), only upon the condition that You accept all the terms and conditions of this Agreement. By signing up with or by using the Portstay Platform, You indicate that You understand this Agreement and accept all of its terms. If You do not accept all the terms of this Agreement, do not proceed or use Portstay Platform in any manner.
You, as an individual, must be 18 years or older to access or use the Websites and the Service(s).
If You are representing, a Company as a "User" or "End-User" or "Affiliates", must be 18 years or older to access or use the Websites and the Service(s).By using the Portstay Platform or the Services, You represent and warrant that You have the right, authority and capacity to enter into this Agreement and to abide by the terms and conditions of this Agreement.
You are the sole authorized user of Your account. You are responsible for maintaining the confidentiality of any password provided by You, or Your Company as a "User" or "End-User" or "Affiliates" while accessing Portstay for the Services. You are solely and fully responsible for all activities that occur under Your password or account. Portstay has no control over the use of any User's account and expressly disclaims any liability derived thereof, if You suspect that any unauthorized party may be using Your password or account or You suspect any other breach of security, You contact Us immediately.
In no event shall Portstay., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
Portstay Technologies its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.
Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.
Portstay Technologies Platform include numerous services such as, Enterprise & Team Collaborations includes Sales CRM, Customer Support, IT Team, Operations, Human Resources Softwares works as an Individual modules with Messaging Software - Direct Chat Messages/Groups Messages.You are responsible while using the above services in Portstay, Portstay is only a technology enabled software platform that helps you to initiate, accept messages. You are encouraged to use Portstay responsibly and safely. Portstay recommends the following safety guidelines in the course of using our product.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 7 day's notice prior to any new terms and condition with effect.
This Agreement shall be governed by the law without regard to choice of law principles. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. You agree that this Agreement and all incorporated agreements may be automatically assigned by Portstay.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
